This is an exciting opportunity for an experienced Senior Corporate Law Clerk to join a complex organization within a large national retail organization. In this role, you will provide high-level corporate governance and legal support across a multi-entity structure, working closely with internal legal counsel and senior stakeholders.
You will play a critical role in maintaining corporate compliance, supporting board and committee activities, and ensuring the accuracy and integrity of corporate records. This position offers meaningful exposure to public-company governance, securities filings, and strategic transactions, while allowing you to act as a trusted subject-matter expert within the corporate secretariat function.
You will join a collaborative, professional legal environment that values precision, accountability, and strong governance. This role offers exposure to complex corporate transactions, board-level operations, and regulatory filings. You will also have the opportunity to contribute to process improvements and precedent development while working alongside experienced legal and executive teams.
You’ll prepare and maintain digital corporate minute books for the organization and its subsidiaries, including full lifecycle management from incorporation through amalgamations, continuances, and dissolution.
You’ll manage corporate filings related to incorporations, amendments, dissolutions, and restructurings across multiple jurisdictions.
You’ll support corporate and securities filings, including ministry filings across Canada, SEDI, and stock exchange (TSX) requirements; SEDAR experience is considered an asset.
You’ll coordinate the preparation and distribution of board, committee, and annual general meeting materials, including board packages, mailings, agendas, resolutions, minutes, and document uploads, using Diligent or similar board portal platforms.
You’ll provide corporate support on transactions and due diligence as required, within a governance-focused role.
You’ll maintain a digital minute book library and corporate records for multiple entities and subsidiaries, ensuring ongoing compliance and accuracy across jurisdictions.
You’ll build strong internal relationships and proactively identify risks, issues, and improvement opportunities.
4–8 years of progressive corporate law clerk experience, ideally within a law firm or in-house legal department supporting a public company.
Completion of a recognized Law Clerk program and active membership with the Institute of Law Clerks of Ontario.
Strong working knowledge of corporate statutes, including CBCA and OBCA.
Experience supporting securities filings, board governance, and corporate transactions.
Exceptional organizational, research, and problem-solving skills.
Ability to work independently with minimal supervision while managing competing priorities.
