An established law firm is seeking an experienced Corporate Law Clerk to join a collaborative team handling a diverse range of sophisticated corporate matters. This permanent opportunity is ideal for someone who enjoys combining technical expertise, independent ownership, and strong attention to detail in a professional, supportive environment.

You’ll work closely with experienced lawyers, clients, and fellow clerks on everything from routine corporate maintenance to complex transactions and reorganizations. You’ll also have the opportunity to share your knowledge by mentoring developing legal professionals and contributing to a team culture built around collaboration and professional growth.

Your Responsibilities
• You’ll prepare and file corporate documentation for incorporations, amendments, continuances, amalgamations, dissolutions, and registrations
• You’ll manage provincial and federal filings, annual returns, renewals, and corporate record maintenance
• You’ll conduct corporate record reviews and due diligence, preparing rectification materials where required
• You’ll draft documentation supporting mergers and acquisitions, financings, share and asset sales, and tax reorganizations
• You’ll prepare structure charts, closing agendas, reporting letters, resolutions, and minute book documentation
• You’ll collaborate directly with lawyers and clients to determine documentation, search, and filing requirements
• You’ll mentor junior and intermediate clerks while supporting students and associates with technical corporate procedures

Skills and Qualifications
• 5+ years of corporate law clerk experience within a law firm environment
• ILCO Certification and membership in good standing with the Institute of Law Clerks of Ontario
• Strong working knowledge of the OBCA, CBCA, ONCA, CNCA, Corporations Information Act, and related corporate legislation
• Experience with provincial filing platforms and Corporations Canada, with Appara experience considered a strong asset
• Excellent written and verbal communication skills with a professional, client-focused approach
• Strong organization, time management, and attention to detail, with the ability to manage shifting priorities independently
• Flexibility to occasionally work outside regular business hours when required
