Job Description

Location: Ottawa, ON, Hybrid (Currently remote. Beginning in October, 2 days per week in office. During the probation period, 3 days per week onsite with the manager.)
Language: Excellent written and verbal English communication required. French is considered an asset.

Reporting to the General Counsel and Corporate Secretary, you will serve as a trusted governance partner, supporting the Board and its standing committees while leading governance operations and mentoring a Governance Coordinator. This role is ideal for someone who is exceptionally organized, produces polished written materials with impeccable accuracy, and is looking to grow into a future executive governance leadership position.

Your Responsibilities
• You'll manage governance activities for the Board of Directors and three standing committees, ensuring meetings are well planned, executed, and documented.
• You'll prepare and review high-quality governance materials, including agenda books, briefing notes, presentations, policies, work plans, and meeting minutes with exceptional accuracy and consistency.
• You'll coordinate Board and committee action items, maintain governance policies and manuals, and oversee director onboarding activities.
• You'll provide strategic governance support to committee chairs and senior leadership while ensuring committee recommendations are effectively presented to the Board.
• You'll supervise and mentor a Governance Coordinator while identifying opportunities to improve governance processes and leverage Board management technology.
• You'll participate in occasional evening, weekend, and Canada-wide travel in support of Board meetings and governance activities.

Skills and Qualifications
• 5+ years of direct experience supporting a Board of Directors or Board-appointed committee, ideally within a professional association, regulatory body, or not-for-profit organization.
• Demonstrated expertise preparing Board agendas, briefing notes, meeting minutes, governance documentation, and executive-level communications with exceptional attention to detail.
• Outstanding written communication skills with the ability to produce polished, accurate documents that require minimal review.
• Proven ability to independently manage competing priorities, meet critical deadlines, and maintain exceptional organization in a fast-paced environment.
• Previous leadership or supervisory experience, with the ability to mentor and provide guidance to team members.
• Experience supporting governance processes, maintaining Board policies, coordinating director onboarding, and managing committee work plans.
• Proficiency with Microsoft Office 365, SharePoint, Zoom, and Microsoft Teams. Experience with OnBoard or similar Board management software is considered an asset.
• University degree or an equivalent combination of education and governance experience.
